Terms of Service
Effective September 15, 2026
These terms govern your use of Encevra, the Noetis analysis engine, and the Encevra API. Please read them carefully. By using the Service, you agree to be bound by them.
1. Acceptance of these terms
These Terms of Service (the "Terms") govern your access to and use of Encevra, the Noetis analysis engine, the Encevra API, the customer portal, and any related services operated by BCW & Company LLC and its subsidiaries (collectively, the "Service"). By creating an account, calling the API, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to that organization.
2. Your account and access
You must be approved before you can run analysis. New accounts can sign up and sign in, but analysis runs, API calls, and engine use remain unavailable until Encevra grants access. You are responsible for keeping your credentials and API keys confidential and for all activity under your account or keys. Tell us promptly at security@encevra.com if you believe an account or key has been compromised. Encevra may suspend or terminate access for misuse, nonpayment, or violation of these Terms.
3. Your content and documents
You retain ownership of the documents, text, and data you submit (your "Content"). You grant Encevra a limited license to process your Content solely to run the analysis you request and to return results to you. You are responsible for having the rights to submit your Content and for ensuring it does not violate law or third-party rights. Do not submit content that contains personal data you are not authorized to process, or material that is unlawful, infringing, or harmful. Encevra treats uploaded text as untrusted evidence for analysis, not as instructions.
4. The analysis and its limits
Encevra and Noetis produce analytical output, not professional advice. Findings, briefs, calculations, and citations are decision support, not legal, financial, tax, or investment advice. Results may be incomplete when required evidence is missing, a check fails, or material remains unreviewed. Encevra reports the actual verification status of each run and does not guarantee correctness. You are responsible for reviewing outputs and for your own decisions, including verifying critical figures against source documents before acting.
5. API and engine use
API access uses per-customer keys. You must keep keys secret and may not share, resell, or redistribute API access except as permitted by your plan or engine license. Rate limits, quotas, spending limits, and run limits apply according to your tier. Noetis engine licenses (Build, Scale, Enterprise, and OEM or private deployment) are governed by a separate licensing agreement that supplements these Terms; where the two conflict on engine specifics, the licensing agreement controls.
6. Acceptable use
You may not use the Service to violate the law, infringe rights, harass others, extract or re-identify individuals from protected data, attempt to reverse-engineer the models or internals beyond what your license allows, circumvent rate limits or spending controls, overload the Service, or submit content intended to manipulate the analysis into producing a desired result. Automated access must use the provided API and respect documented limits.
7. Payment and billing
Paid plans, run overages, and engine usage are billed according to your plan and any separate licensing agreement. Charges for completed runs are generally non-refundable, because each run consumes compute and provider cost. If a run fails due to an Encevra error, contact us for a credit or re-run. You authorize us to charge your payment method for recurring fees and usage until you cancel. Cancel anytime; cancellation does not refund fees already incurred.
8. Confidentiality and data handling
Encevra does not train models on your Content. Access is isolated by user and organization, and your documents and runs are not shared across workspaces. We retain run history, citations, and brief versions so you can review past analysis. Retention and deletion are described in the Privacy Policy. Provider credentials and model routing run on the server; your API key and session are never exposed to browser code.
9. Intellectual property
Encevra retains all rights to the Service, including the software, models, branding, and documentation, except for your Content. Analysis outputs you receive are yours to use within your organization, subject to these Terms and any license limits. You may not remove attributions, claim Encevra output as independently audited when it is not, or represent incomplete results as complete.
10. Disclaimers
The Service is provided "as is" and "as available." Encevra does not warrant that analysis will be error-free, complete, timely, or fit for a particular purpose. Model outputs depend on the documents and questions you supply and may be inaccurate or incomplete. To the extent permitted by law, Encevra disclaims all implied warranties.
11. Limitation of liability
To the maximum extent permitted by law, Encevra will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from your use of the Service. Encevra's total liability for any claim is limited to the amount you paid for the Service in the twelve months before the claim, or one hundred US dollars if you have paid nothing.
12. Term and termination
These Terms run until your account or license ends. You can stop using the Service at any time. Encevra may suspend or terminate access for cause, including nonpayment or material violation. On termination, your right to use the Service ends, though we will retain your stored data for a reasonable period so you can export it. Provisions that by nature should survive (intellectual property, disclaimers, liability, governing law) remain in effect.
13. Changes to these terms
Encevra may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after the effective date means you accept the revised Terms. For engine license terms, the separate licensing agreement controls its own amendment process.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Encevra is organized, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, except where local consumer law gives you a mandatory right to another forum.
